Sample Printer Lease Agreement

1.1"Equipment" means the printer, copier, or multifunction device specified in Schedule A, including all accessories, attachments, and upgrades.

1.2"Lease Term" means the period commencing on the Commencement Date and ending on the expiry date specified in Schedule B.

1.3"Monthly Payment" means the regular payment amount specified in Schedule B, payable monthly in advance.

1.4"Service Level Agreement" or "SLA" means the maintenance and support terms outlined in Schedule C.

2.1The Lessor agrees to lease the Equipment to the Lessee, and the Lessee agrees to lease the Equipment from the Lessor, subject to the terms and conditions of this Agreement.

2.2The Equipment shall remain the property of the Lessor throughout the Lease Term. The Lessee shall not sell, assign, mortgage, or otherwise encumber the Equipment.

2.3The Lessor shall deliver and install the Equipment at the Lessee's premises at the address specified in Schedule A.

3.1The Lessee agrees to pay the Monthly Payment as specified in Schedule B, due on the first business day of each month.

3.2Payments shall be made by direct debit from the bank account nominated by the Lessee.

3.3All payments are exclusive of GST unless otherwise stated. GST will be added to each invoice.

3.4Late payments may incur a late fee of 2% per month on the outstanding balance.

4.1The Lessor shall provide maintenance and repair services as outlined in the Service Level Agreement (Schedule C).

4.2Standard service includes:

• All preventative maintenance visits
• All repair parts and labour
• Replacement of consumables (toner, drums, fusers) - paper excluded
• Technical support via phone, email, and remote access
• Next business day response for service requests

4.3The Lessee shall:

• Use the Equipment in accordance with manufacturer guidelines
• Provide suitable operating environment (temperature, humidity, power supply)
• Report any malfunctions promptly to the Lessor
• Not attempt repairs or modifications without authorisation

5.1Risk in the Equipment passes to the Lessee upon delivery. The Lessee bears all risk of loss, damage, or destruction of the Equipment during the Lease Term.

5.2The Lessee shall maintain adequate insurance covering the Equipment against loss, damage, theft, and third party liability.

5.3The Lessee shall provide evidence of insurance upon request by the Lessor.

6.1At the expiration of the Lease Term, the Lessee may elect one of the following options:

1. Return Equipment: Return the Equipment to the Lessor at no additional cost
2. Upgrade: Upgrade to newer equipment under a new lease agreement
3. Extend: Extend the lease for an additional period at a reduced rate
4. Purchase: Purchase the Equipment at fair market value

6.2The Lessee must provide written notice of their election at least 90 days before the Lease Term expires.

7.1This Agreement may be terminated:

• By mutual written consent of both parties
• By the Lessor if the Lessee breaches any material term and fails to remedy within 30 days of written notice
• By the Lessor if the Lessee becomes insolvent or enters administration

7.2Early termination by the Lessee without cause will require payment of an early termination fee equal to the remaining lease payments, subject to a discount for early repayment.

8.1Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements.

8.2Amendments: No amendment to this Agreement is effective unless in writing and signed by both parties.

8.3Governing Law: This Agreement is governed by the laws of the State of New South Wales, Australia.

8.4Severability: If any provision is found invalid, the remaining provisions continue in full force and effect.
